Job overview

We are currently looking for a Luxembourg qualified Funds and Regulatory lawyer at the junior to mid associate level.

Ashurst's Luxembourg Investment Funds and Financial Regulatory practice offers specialist advice on:

  • Establishment of regulated and unregulated Luxembourg investment funds, with primary focus on alternative investment funds (debt, real estate, private equity, infrastructure);
  • Wide range of investment funds related regulatory issues (licensing, investment management and advice, distribution, administration);
  • Investment fund financing;
  • Investment fund reviews;
  • Cross-jursidicational asset management related regulatory issues (AIFMD, MiFID, UCITS, PRIIPs, etc.).

You can expect to have exposure to a wide range of high quality transactions.

You would typically act on all elements of an investment fund establishment, including drafting fund documents, discussions with the fund sponsors, participation in the tax structuring, considering any related regulatory issues, negotiations with service providers and investors and drafting and negotiating legal opinions. You would also be involved in advising on Luxembourg regulatory issues in various cross-jurisdictional regulatory matters that involve Luxembourg structures or elements. Finally, you would provide advice in relation to fund document reviews in the context of fund financing transactions and investments in the funds (investor side work). You would closely work with the other members of the Luxembourg Desk and with the UK based top-tier Invesmtent Funds team, Financial Regulatory team, Banking team and Tax team.

As part of your role, you would be expected to manage projects or parts of projects that have been assigned to you, proactively handle any issues that may arise and liaise closely with colleagues, clients, counterparties and other advisers. You would be working as part of a committed and inspired friendly team.

With the team's active support, you would be also expected to learn and keep up-to-date on market practice, legal and regulatory developments in Luxembourg and at the level of the EU (including in relation to future Brexit negotiations) that may affect investment funds and asset managers.

Typical responsibilities include

  • Drafting of legal documents and agreements;
  • Contributing to department know-how;
  • Negotiations with counterparties;
  • Contact with the CSSF;
  • In addition to strong technical skills, you should be able to demonstrate an enthusiasm for business development and strong interpersonal skills as you will be in direct contact with our clients.

Essential skills and experience

  • Experience of working for a top law firm with a strong presence in the Luxembourg market;
  • Junior to mid-level lawyer with experience in providing Luxembourg legal advice in investment funds structuring and related regulatory issues;
  • Experience or willingness to learn about the investment funds financing;
  • Experience of drafting legal documents and agreements;
  • A team-player who can work effectively with colleagues at all levels;
  • Ability to integrate a small team within a large law firm;
  • A commercial approach;
  • Willingness to learn about and understand the client's home jurisdiction legal system and explain Luxembourg law requirements in a simple and efficient way;
  • Fluency in both English and French; German would be an asset;
  • Good knowledge of Luxembourg corporate law and experience with corporate, banking and/or securitisation transactions is an advantage.
