Primary Responsibilities

  • Advising on German and broader EMEA governance related matters, including providing advice on issues and documentation related to the obligations of Supervisory Boards, Management Boards and related committees;
  • Working closely with the Supervisory Board in order to set board agendas and advising & assisting with preparation of materials, management of meetings, minute taking and logistics;
  • Working with Management Board members to support the smooth execution of Management Board meetings, including reviewing agendas and minute taking;
  • Ongoing advice and maintenance of documentation evidencing clear organisational structures, including organisational charts, signing authorities and appropriate governance policies;
  • Advising on corporate matters such as reorganisations, shareholder meetings, capital issues and corporate filings;
  • Providing ad-hoc advice on commercial legal matters such as sourcing and outsourcing arrangements, licensing issues and data protection;
  • Monitoring and advising on corporate legislative, governance and regulatory developments and related initiatives, implementing change as required;
  • Assisting with the maintenance of appropriate corporate records in respect of all German entities and submission of all required corporate or regulatory notifications;
  • Co-ordinating with colleagues in UK and US in relation to firm-wide governance and control issues and development of best practice.

Qualifications

Skills required (essential)

  • Knowledge of German corporate law and procedural matters;
  • Understanding of and ability to advise senior management on governance and internal control requirements, including EU regulatory best practices and BaFin/ECB expectations;
  • Experience of working at senior board and committee level, preferably including preparation of board and committee packs;
  • Excellent English and German communication skills (both written and oral) with an ability to impact and influence senior colleagues;
  • Team player but able to work independently to drive matters forward and represent the Legal division appropriately;
  • Well-organized, and able to work in a fast-paced environment;
  • Ability to build good working relationships with multiple stakeholders.

Ideal but not required

  • Experience working in US or other international financial services firm;
  • Experience of preparation and negotiation of commercial agreements.
