Intertrust Netherlands is looking for a Head of Legal to join the Amsterdam office.

You will be heading the Legal Team which consists of about three legal professionals receiving support by one paralegal/secretary. The professionals in the Legal Team work closely together on a broad variety of legal and regulatory issues.

Your responsibilities

You will be heading the Legal Team as a “cooperating foreman”. As part of the Legal Team you will be assisting and advising the business and the Management Team (MT) of Intertrust Netherlands as well as the Group General Counsel on a wide variety of legal and regulatory matters. This includes, amongst others:

  • Reviewing, drafting and advising of any contracts to be entered into by Intertrust Netherlands;
  • Reviewing, negotiating, approving and advising on the execution of any service agreements with clients, including any deviations on the templates;
  • Advising, negotiating and drafting of investment and restructuring plans, the related documentation, e.g. participation agreements, loan agreements, security documentation, etc.;
  • Review and approve of legal transactions that may have impact on the position of (employees of) Intertrust Netherlands acting as director of client entities;
  • Advising HR and MT on any employment related legal matters and, in particular, advising the MT on any Works Council related matters;
  • Drafting, filing and maintaining of any regulatory licenses and the related manuals;
  • Advising on and drafting of any communication with regulators and maintaining the relationship with them;
  • Advising on any GDPR matters and drafting and maintaining of GDPR policies;
  • Monitoring and advising of any claims and incidents, including instruction to external counsel and representing of Intertrust Netherlands in case of any litigation or hearings;
  • Maintaining and improving the governance and legal structure of Intertrust Netherlands;
  • Improve content of and build a data base for legal model forms, precedents and relevant literature and jurisprudence;
  • Provide training to all staff in relation to the above matters, including recurring legal knowledge sessions/lunches.

The Legal Team will contribute to the content of future legal policies and develop and implement (legal) codes of conduct, directives, regulations and models and verify compliance with these.

You are responsible for adequate transfer of legal knowledge within the Legal Team and the MT. You will be the most Senior Professional in the Netherlands office and report directly to the MT with a dotted line to the Group General Counsel.

Who we are looking for

  • A pragmatic approach to problem-solving and achieving the desired business outcomes with a high sense of urgency, accountability and critical thinking skills;
  • Minimum of 10 years’ experience in the legal, tax, accounting or corporate services industry or banking;
  • Be sparring partner of MT and the Group General Counsel;
  • Leadership skills, with proven responsibility for managing teams and planning. Drives initiatives along, gets results, and ensures that key objectives are met;
  • Able to collaborate with different stakeholders at various levels within the organization;
  • Team player and “cooperating foreman” with a can-do attitude and with a drive to continuously improve and not afraid to roll up the sleeves;
  • Is proactive and self-starting; seizes opportunities and acts upon them; originates action and actively influences events;
  • Willingness to dive into the content and technical details of applications or processes;
  • Committed to the achievement and maintenance of quality; sets high standards of performance for self and others;
  • Is able to influence attitudes and opinions of others and gain agreement to proposals, plans and ideas; skillful at negotiating;
  • Communicates verbally in a manner which is clear, fluent and to the point, and which holds the audience attention, both in group and one-to-one situations;
  • Is able to act as role model for the Legal Team by demonstrating a high level of legal skills and knowledge;
  • Master’s degree in corporate, civil or tax law;
  • Excellent English communication skills.
