Key Areas of Responsibility

  • Providing strategic legal advice to managers on all aspects of the business, including IP creation, protection and exploitation, contract law, employment law, government contracting, company secretarial compliance and relevant regulatory issues;
  • Reviewing, advising on and amending commercial agreements with third parties such as software licensing agreements and reseller contracts;
  • Negotiating and drafting contractual documentation for a variety of commercial transactions;
  • Creation and management of template legal documents;
  • Management of internal employment law issues;
  • Company Secretarial/corporate compliance matters;
  • Contract management (including maintenance of contract registers) and other legal-related administration;
  • Supervision of IP portfolio, including trade marks;
  • Liaison with external legal advisors where required;
  • Other legal services as required.

Objectives

  • To provide sound, practical and timely legal advice to managers in the business when required;
  • Ensure regulatory and legal compliance of the business, including legal record-keeping;
  • Create ways to make internal legal processes more efficient and user-friendly;
  • Defend the legal and commercial interests of the business.

Education & Experience

  • Law Degree;
  • Relevant experience as an in-house legal counsel;
  • Current practising certificate for Czech Republic is an advantage but not mandatory;
  • Legal qualifications or practising certificates from other jurisdictions (especially England & Wales) desirable but not essential;
  • Commercial contracts experience and strong contract drafting skills essential;
  • Exposure to IP issues in a commercial context essential;
  • Experience with financing transactions (borrower side) desirable but not essential;
  • Company secretarial experience desirable;
  • Employment law experience desirable.

Skills:

  • Strong verbal and written communication skills (including very strong or fluent English language skills);
  • Strong legal drafting skills;
  • Practical legal problem solver;
  • Ability to apply legal knowledge in a commercially relevant and flexible manner;
  • Organised and meticulous record-keeper.
