Gilead operates in a highly regulated sector in which robust contracts which are appropriately drafted, executed, managed and retained are vital both from a legal and regulatory compliance perspective and to manage business risks.

Due to business expansion, we have created an exciting new full-time, permanent role at a senior level. The EMEA Contracts Counsel will form part of the Stockley Park Commercial Contracts Team which consists of four lawyers. The Commercial Contracts Team is close-knit and there is a strong emphasis placed on teamwork. The Commercial Contracts Team sits within the wider EMEA Contracts, Operations and Distributor Legal Team. The role will be based at our EMEA HQ at Stockley Park, Uxbridge.

The primary focus of the EMEA Commercial Contracts Counsel is to draft and negotiate a broad array of agreements to support the operations of Gilead’s EMEA HQ, and to help design, implement and maintain robust processes for contracting across EMEA, including assisting with the development and roll-out of the Stockley Park Commercial Contract Team’s innovative contract automation tool, writing templates, guidelines and policies, and delivering training for legal and business colleagues. In addition, the role will involve providing general contractual support to Gilead’s International Regulatory HQ (Cambridge, UK), and to the country counsels in Gilead’s EMEA affiliates.

The EMEA Commercial Contracts Counsel will also be expected to advise on, and deal with, a range of corporate governance and housekeeping issues.

The role will report to the EMEA Senior Director Legal, Contracts & Operations.

Job duties include:

  • Developing close relationships with EMEA HQ departments to ensure that their contracting needs are effectively met. These departments include: Procurement, Medical Affairs, Commercial Operations in their non-franchise/product specific activities (e.g. Business Analytics/Commercial Excellence/Distribution & Supply), Clinical Operations, Drug Safety & Public Health, Facilities, IT, Health Economics & Outcomes Research, and Market Access.
  • Drafting and negotiating a broad range of contracts, including:
    • Distribution agreements
    • Master services agreements and work orders
    • Bespoke services agreements
    • Agreements for the purchase of goods
    • Confidentiality agreements
    • Outsourcing agreements
    • IT agreements
    • Consultancy and speaker agreements
    • Grants and donation agreements
    • Property leases
    • Manufacturing agreements
    • Non-interventional trial agreements
    • Collaboration agreements
    • Data purchase agreements
    • IP assignments and licences
  • Assisting with the design, development and implementation of more robust contracting across EMEA, and working alongside Corporate Legal (Foster City) and EMEA functions such as Procurement, Finance, Data Protection, Legal Operations and Business Conduct, to achieve this
  • Assisting with the development and roll-out of the Stockley Park Commercial Contracts Team’s innovative contract automation tool
  • Assisting with the development and maintenance of a suite of EMEA contract templates and key clauses reflecting the latest legal, regulatory and business requirements
  • Assisting with the design, development and implementation of broader processes related to contracting
  • Proactively assisting the legal teams of EMEA affiliates with templates, key clauses and guidance on corporate processes and best practices
  • Corporate secretary/housekeeping responsibilities in relation to EMEA affiliates
  • Developing and delivering effective training for business stakeholders and legal teams in EMEA affiliates (both in-person presentations and online formats)

Knowledge, Experience and Skills:

Essential:

  • Qualified solicitor with substantial post-qualification private practice experience in commercial and/or corporate law
  • Private practice training with leading international law firm
  • Experience developing and implementing contracting policies, procedures and processes

Desirable:

  • Experience of busy in-house legal department, preferably in biotechnology or pharmaceutical sector
  • Awareness of, and relevant experience with, laws, industry codes and best practices related to the promotion of prescription medications
