Job Summary:

Media Distribution

We have an exciting new position for a Senior Attorney to join our legal team, focussing on Media Distribution. This is a permanent role based in our Hammersmith office.

In summary the purpose of the role would focus on:

  • Legal/business negotiations on licensing deals for television, channels and channel carriage agreements;
  • Legal/business advisory on commercial/legal/regulatory issues arising from licensing deals;
  • Legal/business advisory in respect of commercial aspects of Disney’s DTC (direct-to-consumer) products including partnership arrangements with third party platform partners.

Responsibilities:

General

  • Draft and conclude content licence agreements, channel and on-demand services distribution agreements, format agreements, amendments and other legal documentation required by the business in Europe, Africa and Russia;
  • Liaise with the sales teams in London and local “in market” offices in relation to specific deals and to provide support and guidance;
  • Be the first point of contact for queries from finance, marketing and technical representatives within a specific territory group(s);
  • Strengthen internal and external relationships in ways that benefit the business.

Additional projects

  • Help to develop and maintain up-to-date templates for the full range of distribution agreements;
  • Provide leadership and guidance on the implementation of best practice for drafting and the negotiation of key deal terms;
  • Assist in monitoring the output of more junior lawyers and administration support colleagues;
  • Provide support to the regional digital team and assist in supporting global and regional accounts;
  • Work on specific projects from time to time to support the media distribution business’s initiatives with focus on DTC distribution.

Deal Management

  • Develop a solid understanding of the business’s and licensees’ expectations and negotiating position through effective utilisation of cross-functional expertise;
  • Work with sales team to structure, progress and support negotiation of agreements;
  • Draft and complete licence and distribution agreements within agreed timescales.

Other General Activities

  • Work effectively with departmental colleagues on a cross-functional and cross-territory basis;
  • Keep up to date with relevant legal developments and, where appropriate, take opportunities to share that knowledge with colleagues;
  • Foster a ‘continuous improvement’ culture, ensuring that policies and processes will protect the business.

Basic Qualifications:

Skills and Experience

  • English law professional qualification;
  • Ideally 5-10 years PQE;
  • Contract drafting and commercial law experience;
  • Television and/or digital media distribution and licensing experience;
  • Some experience of DTC/digital/OTT services preferable, ideally with an understanding of data privacy and consumer marketing concerns;
  • Mix of in house and private practice experienced preferred;
  • Understanding of negotiation and excellent contract drafting skills;
  • Ability to draft from scratch to address new and challenging issues;
  • Self-starter and self-supporting;
  • Good organisational skills with the ability to prioritise tasks and manage a portfolio of contracts;
  • Ability to work under pressure and to deadlines;
  • Methodical, meticulous and with great attention to detail;
  • Accurate completion of agreements within agreed timelines;
  • Ability to communicate legal matters to non-legal audience (e.g. sales teams);
  • Interact well with people who have different backgrounds and work styles;
  • Listen and ask questions to ensure understanding;
  • Convey relevant information in a candid and timely manner.
