As the company continues to grow internationally, Alnylam Pharmaceuticals is seeking an experienced Corporate and Transactional Counsel responsible for a wide range of routine and non-routine contracts in the ex-US regions (Canada Europe Middle East and Africa, Latin America and Asia) of a fast growing, innovative, multinational biopharmaceutical company, with a focus on supply chain activities and transactions.

The person serving in this role will structure, draft and negotiate agreements, counsel internal business owners on the legal implications of transaction initiatives and strategies across the supply chain & procurement spectrum, administer and resolve legal issues that arise in existing commercial relationships.

Additional responsibilities of this position include providing employment law advice and supporting corporate governance, as well as formulating and implementing process-oriented improvements in the areas of responsibility.

The role is deeply interconnected with other members of the International Legal team located across the three ex-US regions, and at the corporate headquarters of the company in the US and will work cross-functionally with other Alnylam colleagues at the regional and global level and with external resources.

Importantly, the person in this position will mentor and be responsible for the work and development of a Paralegal, who report directly to this Counsel.

The ideal candidate will have a solid background in the pharmaceutical and/or biotech industry, genuine international experience, business acumen, result/solution orientation and strong identification with Alnylam’s values.

This position is based in Zug, Switzerland and will report to the VP Head of Legal International.

Summary of Key Responsibilities

Strategic Transactions (approximately 60%):

  • Oversee third party service providers who provide contracting services for routine transactions in ex-US, while directly supporting - in collaboration with other Alnylam attorneys - more complex and strategic agreements related to Supply Chain and/or Procurement outside the United States, such as agreements related to Logistic and Distribution, Warehousing, Product packaging and labeling, Corporate Services, HR Services, IT, Construction & Facilities;
  • Work closely with relevant business partners to understand their needs and advise on issues from a legal or contracting perspective;
  • Partner with the Director Contracting and Operations and the global Procurement function in the US to improve the contracting process, which may include developing and delivering training, harmonizing and rationalizing templates, building negotiation guidelines, identifying and adopting best practices and supporting process improvement initiatives in a continued effort to streamline contract related processes to improve timeliness, accuracy and quality in support of a fast growing and expanding business;
  • Be a resource to the Legal Expertise Area colleagues and business partners in ex-US in connection with Supply Chain and Procurement transactions.

Corporate Governance (approximately 30%):

  • Coordinating the formation of new legal entities in the Canada Europe Middle East and Africa (CEMEA), ASIA and LATAM Regions;
  • Managing outside counsel and other external resources involved in corporate secretarial matters, in particular by overseeing the preparation, execution and maintenance of corporate governance records (e.g. agendas, resolutions, minutes and other organizational documents);
  • Coordinating board and committee meetings;
  • Serving as point person for Tax, Finance, Business Owners and other lawyers on the team regarding organizational structure and history, and corporate governance matters relating to subsidiaries (including boards of directors, officers, entity type, etc.);
  • Working closely with the VP Head of Legal International on strategic projects affecting Governance of ex-US Subsidiaries.

Human Resources (approximately 10%):

  • Provide in-house legal counsel support to the Human Resources Department and coordinate external legal advice on labor relations and employee benefits, support the development and maintenance of employment contracts, and review policies, templates and processes to minimize employment-related risks


  • Law Degree and license to practice law;
  • Six (6) to eight plus (8+) years of experience in a corporate legal department and/or law firm working on general corporate and commercial matters, with a strong preference for at least two (2) years of in-house experience at a biopharmaceutical company;
  • Expert knowledge of pharmaceutical and contracts laws (ideally with some knowledge of EU Competition laws), including EU and Member State laws, regulations and compliance requirements impacting the pharmaceutical industry;
  • Proven track record and demonstrated experience managing and negotiating transactions, including related to pharmaceutical supply chain and logistics;
  • Solid judgment and business acumen and understanding of pharmaceutical business operations, particularly in determining the significance of legal matters in the context of business objectives, assessing risks and benefits and providing innovative business and legal solutions;
  • Enthusiastic, self-motivated and efficient, able to proactively identify short and mid-term business needs, to develop strategies and to manage responsibilities independently, as well as to facilitate teamwork and to mentor and guide others;
  • Ability to maintain high level of integrity and credibility within the organization and strong interpersonal and organizational skills, including diplomacy, flexibility and ability to prioritize and manage multiple time-sensitive projects in a fast-paced and dynamic environment;
  • Outstanding verbal and written skills with ability to interface effectively and explain complex, challenging issues in a clear, succinct manner to all levels of the organization, including senior management, adapting to circumstances and variety of cultures;
  • Excellent command of English, spoken and written, additional fluency in at least , another European language highly valued;
  • Knowledge and experience advising on day to day HR related matters and projects a plus.
