A day in the life of a Cognizant lawyer

Day-to-day responsibilities include drafting, review and mark-up of a broad variety of customer contracts and related agreements on commercial transactions across a range of jurisdictions and industries. Your main focus will be the review of Swiss client agreements, and ancillary subcontractor and procurement contracts. The role will encompass handling a wide range of legal and commercial issues and transactions, varying greatly in nature, complexity and value. It will involve work on all phases of deals, from review and closure of NDAs, involvement in RFP reviews and the proposal/bid review stages, client contract template reviews and supporting other lawyers in such reviews in the beginning to conducting client and subcontractor negotiations at a later stage. The candidate will have frequent contact with internal stakeholders and corporate functions and shall quickly gain an understanding of Cognizant’s business and contracting preferences. Topics relating to intellectual property, remedies under warranty, liability, indemnities, data privacy, payment terms and revenue recognition in the context of IT and BPO services will be particularly relevant. This is also an opportunity to really get under the skin of the business and develop close working relationships with the deal-making teams.

Requirements

While commercial law experience is essential to this role, you must come with a commercial mind set. Experience in working on IT contracts, advising on GDPR and IP related issues is strongly recommended. The ability to balance legal risks with commercial and operational needs of the business is key. You should be able to demonstrate strong, effective and impactful communication skills with people at all levels and backgrounds, being able to multitask with rapidly changing priorities in a dynamic working environment.

Additional skills necessary to fulfill the job successfully include:

  • Minimum 5-10 years of professional experience;
  • Ability to review and draft contracts and communicate fluently in English;
  • Ability to review and draft contracts and communicate fluently in German or French or Spanish is an advantage;
  • Precision in legal drafting and business communication;
  • Knowledge of contract law and practice from a civil law perspective;
  • Solution oriented, get the job done mentality.
