Senior Legal Counsel

What will your essential responsibilities include?

  • Support the data platform initiative (“Project”) and attend meetings as they relate to the Project;
  • Advise on the following matters with support from other lawyers as needed:
    • Commercial contracts including Data Transfer Agreements; MSAs; SaaS Agreements; License Agreements; Engagement Letters; Consultancy Agreements; NDAs; Transaction Agreements/Statements of Work; Partnership Agreements; Research/Collaboration Agreements; Value-add Commercialization Agreements;
    • Intellectual property/joint development and shared IP arrangements;
    • Asset Transfer Agreements/M&A issues;
    • Entity governance;
    • Marketing/Website materials and terms and conditions;
    • Customer Agreements.
  • Be proactive in helping drive the Projects forward;
  • Collaborate with internal functions including: Procurement; Finance; Tax; Compliance; Underwriting; Claims; Data Privacy; Information Security and other AXA Group entities;
  • Work with external law firms and manage external legal advice where required.

We’re looking for someone who has these abilities and skills:

  • Qualified solicitor with a proven experience in a law firm or in-house law department (some in-house experience preferred);
  • Ability to work in a fast paced and dynamic environment where the focus is on providing legal advice in a commercial manner while helping the Projects develop and scale at speed;
  • Experience in advising, negotiating and drafting a variety of commercial contracts;
  • Good Intellectual property experience;
  • Previous experience in M&A work;
  • Confident, articulate with the ability to manage legal risk in an innovative environment;
  • Capability to self-initiate and manage one's own tasks autonomously;
  • Ability to build effective working relationships (internally/externally), establishing credibility amongst a wide and demanding client group;
  • Interpersonal Communication: proven verbal, written and collaborative communication and negotiation skills. Able to communicate effectively with internal and external stakeholders;
  • Ability to work in an international, multicultural environment within financial services;
  • Ability to prioritize conflicting needs and progress matters expeditiously, proactively and follow through on projects to successful completion;
  • A proactive approach to problem-solving with decision-making capability;
  • Fluency in English.
